About these terms
OfferWall.app (“OfferWall”, “we”, “us”) is a service provided by Conectia Limited, a company registered in England and Wales under company number 06771616, whose registered office is at The Stables, Peper Harow, Godalming, GU8 6BQ.
These terms apply to everyone who uses the OfferWall.app website, and to businesses that create an account to show OfferWall offers to their own customers (“partners”, “you”). By using the website or creating an account, you agree to these terms.
If you have a separate written agreement with us (for example, a commercial or partnership agreement), that agreement applies alongside these terms. Where the two conflict, the written agreement takes priority.
Our privacy policy and cookie policy explain how we handle personal data.
The service
OfferWall lets partners choose offers from third-party brands (“advertisers”) and show them to their customers through a hosted landing page, an iframe, or a JavaScript embed on the partner's own website, app or CRM. When a customer takes up an offer, we record the click so that the resulting commission can be attributed to the partner.
Partner accounts
- Accounts are for businesses. You must be authorised to act for the business you register, and the information you give us must be accurate and kept up to date.
- You are responsible for keeping your login details secure and for everything done through your account. Tell us straight away at support@offerwall.app if you think someone else has access to it.
- We may refuse or remove an account at our discretion, for example if we cannot verify the business.
Your obligations as a partner
When you show OfferWall offers to your customers, you must:
- comply with all laws that apply to you, including consumer protection, advertising (including the CAP Code) and data protection law;
- tell your customers, in your own privacy and cookie notices, that your pages include OfferWall content, and obtain any consent needed for the storage and tracking described in our cookie policy;
- present offers accurately and not change their terms, pricing or eligibility, or describe them in a misleading way;
- clearly identify offers as advertising where the law or advertising codes require it;
- not generate clicks or conversions artificially, including through bots, automated scripts, incentives that an advertiser has not approved, or clicking on your own offers;
- not place offers next to unlawful, hateful, sexually explicit or otherwise harmful content;
- keep embed codes as we supply them, other than the configuration options we document, so that tracking and accessibility features keep working.
Offers and advertisers
- Offers are provided by advertisers, not by us. The advertiser is responsible for its offer, its products and services, and its own terms and conditions, which apply when a customer takes up the offer.
- We take care in choosing the offers on OfferWall, but we do not guarantee that any offer is available, accurate or suitable. Advertisers can change or withdraw offers at any time, and we may remove an offer without notice.
- Clicking an offer takes the customer to the advertiser's own website, which we do not control.
Cookies and browser storage
By using the OfferWall.app website, a page at an address ending in offerwall.app, or an offer wall shown on a partner's website or app, you agree to our use of cookies and browser storage as described in our cookie policy. This includes storing a random visitor ID in your browser so that offer loads and clicks can be counted and commission attributed.
If you do not agree, you can block or clear cookies and site data in your browser settings at any time, or stop using the website. Blocking the login cookie will stop you logging in to a partner account.
By embedding an offer wall, partners confirm that their own cookie and privacy notices tell their users about OfferWall, as set out in your obligations as a partner.
Commission and payment
- Commission rates, payment terms, and any points or cashback shown to your customers are set out in your written agreement with us, or as otherwise agreed with us in writing.
- Commission is earned only on conversions that the advertiser or affiliate network confirms as valid. Conversions can be declined or reversed (for example, for cancellations, returns, duplicate or fraudulent activity), in which case the related commission is not payable or may be deducted from future payments.
- Our tracking records are used to calculate commission. If you think a figure is wrong, tell us within 60 days of the statement it appears on.
- We may withhold commission connected with a breach of these terms, including artificial or fraudulent activity.
Acceptable use
You must not:
- use the website or service for any unlawful purpose;
- try to gain unauthorised access to the service, other accounts, or our systems;
- interfere with the service, its security or its tracking, including by scraping, overloading or reverse engineering it, except where the law allows;
- upload or send anything that contains malware or infringes anyone else's rights.
Intellectual property
We, or our licensors, own the intellectual property in the OfferWall website, software, embed code and dashboard. While your account is active, you may use the embed code and our materials only to show OfferWall offers as described in these terms. Advertisers own the names, logos, images and text in their offers. You keep ownership of your own branding, and you let us use it to set up and display your landing page and embeds.
Availability and changes
We work to keep OfferWall available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may change, suspend or withdraw any part of the service, for example for maintenance or security. We may update these terms from time to time; the date at the top shows when they last changed. If a change significantly affects partners, we will tell you by email or in the dashboard before it takes effect.
Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
- Subject to that, we are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
- We are not responsible for advertisers' offers, products, services or websites.
- Subject to the first point, our total liability to a partner arising from the service in any 12-month period is limited to the commission paid to that partner in that period.
Suspension and ending your account
You can stop using OfferWall at any time by removing our embed codes and asking us to close your account. We may suspend or close an account if you break these terms, if we are required to by law, or if we stop providing the service. Commission for valid conversions tracked before your account closes remains payable under your agreement with us, unless it is connected with a breach of these terms.
General
- If any part of these terms is found to be unenforceable, the rest remains in effect.
- If we do not enforce a right straight away, we can still enforce it later.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
